Business Setup & PRO

Closing a UAE company properly protects shareholders and managers from future fines, travel bans and unpaid liabilities. Voluntary liquidation involves final accounts, tax deregistration, clearances from several authorities and cancellation of visas and the licence. We coordinate the whole sequence so nothing is left open.

01

No loose ends

Every registration, visa and account closed in the right order.

02

Avoid future fines

Late deregistration and unfiled returns can create penalties long after trading stops.

03

Protect individuals

Shareholders and managers are not left exposed to unresolved liabilities.

04

One coordinator

Accounting, tax and government steps handled by one team.

01Why closing properly matters

A UAE company exists until it is formally deregistered. Until then, licence fines, immigration obligations and tax filing duties may continue, even if the business has stopped trading.

A proper liquidation gives shareholders and managers a clean exit and the documents to prove it.

02The order of steps

Closure follows a sequence. Typically shareholders resolve to liquidate and appoint a liquidator, creditors are notified, books are brought up to date and final accounts prepared, and tax registrations are cancelled. Employees’ visas are cancelled and final dues paid, clearances are collected and the bank account is closed before the licence is cancelled.

Doing these out of order, for example closing the bank account before settling final dues, can stall the process, so we plan the sequence before starting.

03Tax is often the longest step

The FTA will normally want all returns filed and liabilities settled before it approves deregistration. Missing periods, unfiled returns or penalties must be resolved first.

Because we start from the books, we identify these issues early and handle them in parallel with the corporate and immigration steps.

  1. 1

    Plan

Review licence, visas, tax status and books, and set the closure sequence.

  2. 2

    Settle

Finalise accounts, file final tax returns and settle employees and creditors.

  3. 3

    Deregister

Cancel VAT and Corporate Tax registrations, visas and collect clearances.

  4. 4

    Close

Close the bank account and cancel the trade licence.

That is not recommended. An expired licence does not close the company. Fines, tax filing obligations and visa liabilities can continue to build, and individuals linked to the company may face problems later.
